CLINTON, Miss., June 6, 2002 - WorldCom, Inc. (NASDAQ: WCOM, MCIT) announced the payment of quarterly dividends on its 7% Series D, E and F Depositary Shares (the "Depositary Shares"), each representing a one/hundredth interest in a share of 7% Series D, E and F Junior Convertible Preferred Stock, respectively. WorldCom will pay a dividend on July 15, 2002 in the form of Common Stock Units to holders of record of the Depositary Shares at the close of business on July 1, 2002. As of the date of this press release, a "Common Stock Unit" is comprised of one share of WorldCom group stock and 0.0515 shares of MCI group stock.
The number of Common Stock Units to be issued on each Depositary Share on the payment date will be determined by dividing the total dividend of $0.4375 to be paid on each Depositary Share by 95% of the sum of (i) the number of shares of WorldCom group stock in a Common Stock Unit, as of the July 1 record date, multiplied by the Average Stock Price of WorldCom group stock for the period from June 10, 2002 to June 21, 2002, plus (ii) the number of shares of MCI group stock in a Common Stock Unit, as of the July 1 record date, multiplied by the Average Stock Price of MCI group stock for the period from June 10, 2002 to June 21, 2002.
The number of shares of MCI group stock included in a Common Stock Unit will be adjusted on July 1, 2002 as a result of the previously declared dividend of $0.60 per share payable on shares of MCI group stock on July 15, 2002 to holders of record on June 30, 2002. As a result of the previously announced conversion of each outstanding share of MCI group stock into 1.3594 shares of WorldCom group stock on July 12, 2002, on July 15, 2002 a Common Stock Unit will be comprised solely of a number of shares of WorldCom group stock equal to one plus the product of 1.3594 and the then adjusted number of shares of MCI group stock included in a Common Stock Unit.
