Enterprise Mobility as a Service

 

(Beginning on March 15, 2014, Enterprise Mobility as a Service will be rebranded as Mobile Workforce Manager)

 

I.          SERVICE DESCRIPTION

 

Enterprise Mobility as a Service (the “Mobility Service”) is used by the Customer for mobility and asset management. The asset management elements of the Mobility Service ensures that desktop and laptop computers, smart phones and computing tablets (collectively, “Devices”) authorized by Customer are managed and updated through a high level of automation even when the Devices are not connected to Customer’s corporate network. The mobility element of the Mobility Service is a multi-user remote IP access service that offers different types of corporate end users, including agents and contractors that Customer has authorized (collectively “Authorized Users”), that require access to the Internet (e.g. when travelling or located in a branch office), the ability to access the Internet with a Device through Company’s IP Network, third party IP Networks, and Wi-Fi networks. Mobility Service also allows for Customer to integrate Authorized User IP access by way of mobile wireless networks. 

 

1.         Enterprise Mobility Management Center. The Enterprise Mobility Management Center is a password protected web based tool that enables the Customer to perform applicable functions to facilitate the use of the Mobility Service. Company will provide the URL for the Enterprise Mobility Management Center and Customer administrator access information (such as login details) to the Customer when the Mobility Service is provided. Customer will provide and maintain access to the Enterprise Mobility Management Center for its Authorized Users through its administrator.

 

1.1       The functions that may be performed by the Customer using the Enterprise Mobility Management Center include:

 

•     Assign administrative and user roles that are required by the Customer;

•     Manage Authorized User accounts;

•     Manage Device software related settings, including software that is to be pushed to Authorized User Devices or manage Client Software (as defined below);

•     Import and export Authorized User data by bulk upload/download;

•     Amend access methods (e.g. allow access via Company IP Network or Customer provided Wi-Fi or other access).

 

1.2       Other specific features, technical details, and detailed functions of the Mobility Service are described in the online help pages on the Enterprise Mobility Management Center for Customer’s reference only. The Enterprise Mobility Management Center user interface is only available in English language. 

 

Company may amend functionalities of the Mobility Service at any time and provide notice to Customer of such amendments via the Enterprise Mobility Management Center.

 

2.         Client Software. Mobility Service includes integration for Device client application software providing access to the Mobility Service including Customer Device asset management (“Client Software”).  Client Software is designed to simplify localization of Customer assets and Authorized User support efforts, perform automated incremental software and phonebook updates, and conduct rapid introduction of new products and enhancements to Authorized Users. Currently, Verizon can provide Enterprise Connect as Client Software at no additional charge, however other Client Software, including software from third parties (“3rd Party Software”), specified in the Enterprise Mobility Management Center may be supported from time to time.  Customer’s and Authorized Users’ use of Enterprise Connect, is subject to the license agreement(s) set forth at http://www.verizonbusiness.com/terms/.   Terms, service descriptions, and end user license agreements, as applicable, set forth by a third party supplier for 3rd Party Software are generally available on its website.  Verizon provides Enterprise Connect user interface and associated manuals in English language only. From time to time other languages may be available in Enterprise Connect or the Enterprise Mobility Management Center.

 

3.         RADIUS Authentication. The Remote Authentication Dial In User Service (“RADIUS”) server provides a centralized remote user authentication and accounting management service for Devices to access the Mobility Service by connecting to the Internet. RADIUS authentication is used as part of the Mobility Service for authentication of IP Network access and identification of Authorized Users for group policy settings. Group policy settings are limited to one group only.

 

3.1       Choice of Authentication. The Customer may elect to use either Company’s or its own hosted RADIUS authentication server.

 

3.1.1    Company Hosted RADIUS Authentication Service. If the Customer elects to use Company’s RADIUS authentication service, Company shall operate and maintain the RADIUS server.

 

3.1.2    Customer Hosted RADIUS Server. If the Customer elects to host its own RADIUS server, the Customer shall host, operate and maintain its RADIUS server in a secure environment with versions of software protocols specified by Company. The Customer may decide to use multiple RADIUS servers for redundancy purposes. The Customer agrees to assign a unique identification number (in a structure specified by Company) to each Authorized User using the Enterprise Mobility Management Center for billing purposes. The Customer agrees to use software and procedural safeguards to ensure that only accurate routing information for networks to be used by Authorized Users is transmitted from its RADIUS server into Company’s Network. Furthermore, in the event that any problems occur in the transmission of routing information by the Customer, the Customer will remedy such problems immediately.

 

4.        Network Access Identifier Service. A network access identifier (“NAI”) will be used to identify Authorized Users who request access to the Mobility Service.

 

4.1       The NAI will be created at 2 levels:

 

·        a top level (“Top Level NAI”), for example <[email protected]>;  and

·        a sub level (“Sub level NAI”), for example <[email protected]>

 

The Customer may use 1 Top Level NAI and 2 Sub Level NAIs at no additional charge by Company. Additional NAIs may be requested by the Customer in writing to Company and may be provided at Customer’s cost.

 

4.2       The charge for Top Level and Sub Level NAI are stated in the rates and charges section below. The Customer may terminate use of any additional Top Level or Sub Level NAIs upon prior written notice to Company. Only NAIs containing a domain name officially registered to the Customer are allowed to be used with the Mobility Service.

 

4.3       Domain name registration is not part of the Mobility Service. Customer shall pay the domain name registrar for any additional domain names.

 

5.         Trouble Management. Company will provide a toll free number to report problems relating to network integrity and performance. Customer shall designate and maintain an authorized system administrator (“System Administrator”). This number is to be used only by the System Administrator and may not be released to any Authorized User. Company’s relationship for the Mobility Service is solely with Customer and not with an Authorized User.

 

6.         Access Methods. Access to the Mobility Service is available via Wi-Fi, wireless, and dial up access. The access methods will be provided using Company’s network or the network of a third party provider. Wireless access requires Customer to enter into a separate agreement with a wireless carrier.

 

6.1       Wi-Fi Access. Company will provide Authorized Users with an Internet Wi-Fi Access service provided by third party providers contracted by Company. Wi-Fi Access includes 802.11b wireless and Ethernet wired access at certain locations and Authorized Users, with the appropriate technology such as a Device with a wireless 802.11b compatible Wi-Fi or a wired Ethernet network card, may use the Wi-Fi Access service. Wi-Fi Access service provides access to high speed Internet access points in locations listed either within: (a) Client Software; or (b) Company’s hotspot locator at the following URL - http://www.verizonbusiness.com/about/network/hotspots (or other URL provided by Company from time to time). Wi-Fi Access may not be available in all locations within a listed country or within a listed location.

 

6.1.1    Wired broadband access provides Internet access via hardwired Ethernet connections at locations including, airports, hotel common areas and hotel guest rooms. Wired broadband access is charged as a Wi-Fi access point.

 

6.1.2    Wi-Fi Access is not compatible with certain features of Company’s IP dial-up service including, print and file sharing, multicast traffic blocking, session idle timers, and challenge handshake application protocol (“CHAP”).

 

6.2       Dial Access. On or after January 31, 2013, Dial Access services will only be available from PoPs (as defined below) located in the U.S. Mainland, Alaska, Hawaii, the U.S. Virgin Islands, and Canada. Dial Access service is available to Authorized Users as either local, toll, or freephone service at the applicable rate shown below and is available using four Dial Access methods, also shown below.

 

6.2.1    Company provides the Authorized User with a list of dial access numbers available at the Client Software or at Company's point of presence (“PoP”) finder website located at the URL - http://www.verizonbusiness.com/about/network/pops (or other URL provided by Company from time to time) (“PoP Finder”). Freephone numbers for use with the Dial Access service will be available from the Client Software and will not be displayed in the POP Finder for security reasons. Company reserves the right to add, change or remove access numbers from time to time. Changes to the access numbers (except freephone numbers) will be posted on the POP Finder. Client Software will be updated automatically with changes to access numbers and freephone numbers.

 

6.2.2    Company will charge the Customer at the applicable rate as shown in the rates and charges section for the four Dial Access methods. The four Dial Access methods to the Company IP Network are:

 

a.         Company PoP Access. Company PoP Access is a method of access to the Company IP Network using Company PoPs. Authorized Users may incur charges from their telecommunication providers for these access numbers. The countries with Company PoP access are shown below.

 

b.         Non-Company PoP Access. Non-Company PoP Access is a method of access to the Company IP Network using a third party PoP (“Non-Company PoP”). Authorized Users may incur charges from their telecommunication providers for these access numbers. The countries with Non-Company PoP access are shown below.

 

c.         Company Freephone Access. Company freephone Access is a method of access for Authorized Users to access the Company IP Network using Company freephone numbers without incurring any call charges from Authorized Users’ telecommunication providers for the access. The countries with Company freephone access and Customer surcharges are shown below.

 

d.         Non-Company Freephone Access. Non-Company freephone Access is a method of access for Authorized Users to access the Company IP Network using non-Company freephone numbers without incurring any call charges from Authorized Users’ telecommunication providers for the access. The countries with Non-Company Freephone Access and Customer surcharges are shown below.

 

6.2.3    Limited Access. The Mobility Service’s Dial Access is subject to the following limitations in certain locations. The restricted and opt-in locations are shown below.

 

a.         Restricted Locations. “Restricted” locations are locations where direct access to the public Internet is not available (e.g., due to regulatory restrictions), but is available for direct access to the Customer’s corporate network for the purpose of transmitting and receiving data to and from internal hosts on Customer's private corporate network, and these dial ports may not be used for browsing the Internet or for communications to hosts other than hosts on Customer's corporate network. Customer will require Authorized Users to follow these restrictions. Company requires the Customer’s acknowledgement and agreement to the regulatory restriction when using the access from Restricted locations by completion of Company’s regulatory compliance letter prior to the Customer being provided with access within the Restricted locations.

 

b.         Opt-In Locations. Access from “Opt-in” locations is not automatically available, and Customers must request access be enabled from those locations. Customer is required to complete a letter of acceptance for access to Opt-in numbers.

III.        FEATURES AND OPTIONS: None.

 

IV.        RATES AND CHARGES: The following rates and charges apply:

V.         TERMS AND CONDITIONS.

 

1.         Customer will accurately complete the Mobility Service Information Form (“SIF”) that will capture information needed to configure the Mobility Service including contact details including such details for the Customer’s administrator.

 

2.         Technical Obligations. For the duration of the Mobility Service, Customer agrees to be responsible for: (a) its Authorized Users’ compliance with the Authorized User Terms & Conditions set forth below; (b) the System Administrator administering of Authorized User accounts; (c) all Authorized User accounts, support, billing, and collections, as applicable; and (d) the set-up, administration, and maintenance via secure connection of all Authorized User accounts, including without limitation dial-up access authorizations and Authorized User identifications and passwords. Company shall provide second-level technical support to Customer regarding the administration of Authorized User accounts, and reserves the right to access and revise any facilities or system configuration where required to satisfy the obligations of the agreement for Mobility Service.

 

2.1       Authorized User Terms & Conditions.

 

2.1.1    Company exercises no control over the content of the information passing through the Network to Authorized Users, including without limitation via Company’s host computers, network hubs, and POPs.

 

2.1.2    Customer may provide Mobility Service to Customer’s Authorized Users only. Resale to or use by other persons or entities is prohibited. Company will not be responsible for any damage an Authorized User suffers. This includes damages resulting from loss of data due to delays, nondeliveries, misdeliveries, or interruptions. Use of any information obtained via the Network is at the Authorized User’s own risk.

 

2.1.3    Use of the Mobility Service is subject to the Acceptable Use Policy (“Policy”).

 

3.         Customer will assign a separate Authorized User login and password to each person that uses the Mobility Service. Customer acknowledges that the use of an Authorized User login and password by more than one person at any time is strictly prohibited.  

 

4.         WARNING: The use of some the Mobility Service telephone (access) numbers may result in long distance charges. In selecting an access number(s), please note that although an access number may be in Customer’s area code or located in Customer’s general geographic region, it may not necessarily be a local number. Customer may incur substantial telephone charges if Customer chooses access numbers that are not covered by Customer’s local calling plan. Company urges Customer to check with the Customer’s telephone company to determine which numbers are local for Customer before using a number from the list.

 

5.         Only NAIs containing a domain name officially registered to the Customer is allowed to be used with the Mobility Service. Customer will defend and hold Company harmless from any claim, cost, damage or liability resulting from Customer’s use of any other domain name.

 

6.         Unauthorized Use. Use of Mobility Service carries a risk of various forms of fraud, including but not limited to, unauthorized or fraudulent use of Dial Access or Wi-Fi Access (“Unauthorized Use”) by persons who obtain Customer’s host names, UIC codes, passwords or other authentication-related information used in connection with Dial Access or Wi-Fi Access. Customer is responsible for (i) exercising due diligence in protecting Customer systems and information that might be used to access, exploit, or otherwise use Mobility Service, (ii) modifying, updating, deleting and otherwise administering such access information and passwords with respect to Customer’s Authorized User accounts, and (iii) promptly notifying Company in writing of any security compromise with respect to such information or Authorized User accounts. Customer shall be responsible for payment of rates, fees, charges and surcharges incurred for all usage of the Mobility Service, including without limitation, Unauthorized Use of Dial Access or Wi-Fi Access. This obligation shall not apply with respect to Unauthorized Use that is due to Company’s negligent or willful misconduct.

 

7.         Wi-Fi Customer Responsibilities. Customer and its Authorized Users shall have the use of Wi-Fi Access subject to the service provider’s end user agreement, if any. Hotels that provide Wi-Fi locations may also have other high speed Internet access points in public meeting rooms that are not part of Wi-Fi Access (Hotspots). If Customer uses such other Hotspots, Customer may be billed by the hotel for such use. Company reserves the right to add, change or delete Wi-Fi locations listed on the Hotspot website and in the Company address book from time to time with any new Hotspots subject to the same terms and conditions listed herein. Company further reserves the right to add Hotspots with different terms and conditions. Customer’s use of such new Hotspots will be deemed as Customer’s agreement to any such different terms and conditions.

 

7.1       Use of the Service. CUSTOMER ACKNOWLEDGES THAT USING A WIRELESS NETWORK TO ACCESS THE INTERNET OR ANY OTHER NETWORK CARRIES CERTAIN RISKS, INCLUDING, BUT NOT LIMITED TO, INTRUSION BY THIRD PARTIES. COMPANY SPECIFICALLY DISCLAIMS ANY LIABILITY FOR UNAUTHORIZED THIRD-PARTY SECURITY BREACHES OR THE RESULTS THEREOF. COMPANY PROVIDES ACCESS TO THE INTERNET AND THE WIRELESS NETWORK ON AN "AS IS" BASIS AND CUSTOMER BEARS ALL RISK INHERENT IN SUCH ACCESS. BY CONNECTING TO THE WIRELESS NETWORK, CUSTOMER ACKNOWLEDGES THESE RISKS AND HEREBY RELEASES COMPANY FROM LIABILITY FOR ANY DAMAGES THAT MIGHT OCCUR.

 

8.         Export Compliance Customer acknowledges that the export, import and use of certain hardware, software and technical data provided hereunder is regulated by the applicable laws. Company may, at its discretion, reject order for Mobility Service that are not approved following Customer’s submission of Company’s Export Screening Information (“ESI”) form. Customer agrees to comply with all applicable laws and regulations and represents and warrants that Customer is not subject to any government order suspending, revoking or denying export privileges. Customer represents and warrants that Customer will accurately and truthfully complete the Company export compliance qualifications document if requested by Company.

                      

VI.        SERVICE LEVEL AGREEMENT: The Mobility Service SLA sets forth Customer's sole remedies for any claim relating to the Mobility Service, including any failure to meet any standard set forth in the SLA. The following service level agreement (SLA) applies for Customers with Agreements for Managed Mobility entered into prior to November 1, 2012:
