En Francais Entrants hereby confirm acceptance to these Official Rules and agree to be bound by them when entering this Contest.

1. General Overview of the Contest. The Verizon Powerful Answers Award (the “Contest”) is a challenge to inspire innovation and ideas that utilize empowering technologies to address society’s biggest challenges. These Official Rules of the Contest (the “Official Rules”) describe the manner in which the Contest will be conducted. As described in detail below, there are three separate phases (each, a “Phase”) in this Contest: the Initial Concept Submission Phase (“Phase 1″), the Full Proposal Phase (“Phase 2″), and the Finalist Phase (“Phase 3″).

2. Eligibility. The Contest is only open to individuals who are at least 18 years old (or the age of majority in their jurisdiction, whichever is older) as of date of entry and to all validly formed legal entities, except as prohibited, regulated or restricted by law, decree or regulation. Void in Quebec. Employees, officers and directors of Sponsor and its parent companies, subsidiaries, affiliates, partners, dealers, agents, advertising and promotion agencies, manufacturers or distributors of Contest materials and their immediate families (parents, children, siblings, spouse) or members of the same household (whether related or not) of such employees, officers, and directors are not eligible to enter.

Entrants, including individual Entrants must comply with the applicable laws, decrees, regulations and guidelines of their jurisdiction, and Sponsor will have no obligation to change or modify any of the Official Rules or take any further action as a result of such laws, decrees, regulations or guidelines of their jurisdiction, except as is otherwise provided in the Official Rules.

3. How to Enter: Initial Concept Submission Phase or Phase 1. To enter the Contest, visit http://www.powerfulanswersaward.com (the “Contest Website”), follow all instructions to create an account, submit a description in the form provided via the Contest Website of your initial concept submission (“Concept Submission”), read and agree to the Official Rules, and select the “Submit Entry” option. Entrants can submit their Concept Submission from 9:00 A.M. United States Pacific Daylight Time on April 3rd , 2014 through 11:59 P.M. United States Pacific Daylight Time on June 30, 2014. All submissions in all Phases must be in the English language. All submissions relating to this Contest regardless of the phase are described hereunder as “Contest Submissions.”

Verizon Communications (“Sponsor”) reserves the right to cancel or modify this Contest in the event an insufficient number of eligible or satisfactory entries are received, and Sponsor further reserves the right to cancel or modify this Contest as a result of any applicable law, regulation, decree or guideline. If Sponsor decides to cancel or modify this Contest in accordance with these Official Rules, it will provide a notice of such cancellation or modification on the Contest Website at www.verizon.com/powerfulanswers/award/2014/rules.

  • 1. Contest Submission: Each Entrant must submit a fully completed entry form which shall include, but not be limited to, the following:
    • 1.1. select one of the Core Focus Categories (as defined below);
    • 1.2. select one of the Core Focus Subcategories (as defined below)
    • 1.3. describe the problem Entrant plans to solve, and how Entrant intends to solve the problem;
    • 1.4. describe how Entrant’s innovation or product utilizes technology in its solution; and
    • 1.5. describe the market opportunity and user base that the solution will target.
    • Any Concept Submission requiring a written description must comply with any stated word limits on the form provided on the Contest Website.
  • The Core Focus Categories (“Core Focus Categories”) are:
    • 1.1. Education;
    • 1.2. Healthcare;
    • 1.3. Sustainability; and
    • 1.4. Transportation.
  • The Core Focus Subcategories (“Core Focus Subcategories”) are as follows:
    • 1.4.a. Education: Student Teacher Analytics; Anytime/Anywhere Learning; Collaboration and “Gamification”;
    • 1.4.b. Healthcare: Active Living/Wellness; Communications and Care Coordination; Personalized Medicine;
    • 1.4.c. Sustainability: Energy Efficiency; Green energy; Smarter Living; and
    • 1.4.d. Transportation: Smarter Driving; Urban Solutions; Logistics.
  • By entering, each Entrant warrants and represents the following with respect to their Contest Submissions: (a) Entrant is the sole and exclusive owner of the Concept Submission and such Concept Submission is not subject to any claim of ownership by a current employer, a former employer, any institution, educational or otherwise, or any third party; (b) the Concept Submission is Entrant’s own creation and is 100% original; (c) the Concept Submission will not infringe on any intellectual property, proprietary, moral, or other rights of any third parties; (d) any third parties appearing in the Concept Submission and/or any other Contest Submissions have given Entrant appropriate consent to be used as permitted herein and Entrant will, upon the request of Sponsor, provide verifiable evidence of all such necessary consents obtained; (e) the Entrant has all appropriate rights to use, and to grant Sponsor the right to use, any third party content or technology used to develop or contained in the Concept Submission; (f) the Concept Submission and the Entrant’s participation do not violate the rights of any third party or any local, state, provincial, national or foreign law, including any right of publicity, right of privacy or any other proprietary right; (g) the Concept Submission does not contain the confidential information of any third party, and to the extent it contains your confidential information, such information immediately becomes non-confidential the moment Entrant submits the Concept Submission; and (h) the Concept Submission is submitted by Entrant on Entrant’s personal behalf, and not on behalf of Entrant’s employer, educational institution or any third party.
  • All Entrants must provide and maintain a valid email address for the duration of the Contest. Sponsor is entitled to send any correspondence associated with this Contest by e-mail. Entrants are responsible for making sure that they can be reached by email. If an entrant cannot be reached or fails to timely respond to an email, the Entrant may be disqualified or forfeit a possible prize. Each Entrant can submit up to five (5) Concept Submissions during Phase 1 of the Contest, provided that these Concept Submissions are materially different, but each Concept Submission can only be submitted once. No automated entry devices and/or programs permitted. Receipt of entries will be acknowledged through the submission process. Proof of submission will not be deemed to be proof of receipt by Sponsor. Sponsor is not responsible for lost, late, illegible, stolen, incomplete, invalid, unintelligible, misdirected, technically corrupted or garbled entries, which will be disqualified, or for problems of any kind whether mechanical, human or electronic which are beyond his reasonable control. Only fully completed entry forms are eligible. Proof of submission will not be deemed to be proof of receipt by Sponsor.
  • 2. Phase 1 Selection Process: Sponsor reserves the right, in its sole and absolute discretion, to disqualify any Concept Submissions that for any reason it considers to be inappropriate, indecent, pornographic, obscene, violent, slanderous, libelous, defamatory, discriminatory, hateful, untruthful or inaccurate, including without limitation, for depicting or mentioning sex, obscenity, violence, drugs, alcohol and/or inappropriate, slanderous or defamatory language, for promoting bigotry, discrimination, hatred or harm against any race, religion, nationality, gender, sexual orientation, disability or age, or for being unlawful or violating any laws, decrees, or rules and regulations in the United States or in the jurisdiction where it is created or submitted.
  • During Phase 1, a panel of judges (“Judges”), selected by Sponsor in its sole discretion, will evaluate and score the eligible Concept Submissions based on the Phase 1 Criteria (as defined below). Contest Submissions that have been scored and accepted to meet the Phase 1 Criteria, as determined by the Judges, in its sole discretion, will advance to Phase 2 of the Contest. Sponsor and the Judges reserve the right to either disqualify any ineligible Concept Submissions or to request that any Entrant re-submit a Concept Submission to conform to these Official Rules during Phase 1, or within a time-frame communicated by Sponsor. Should any Entrant be asked to re-submit an eligible Concept Submission and fail to do so during Phase 1 or within the time-frame and/or manner communicated by Sponsor, such Entrant may be disqualified in Sponsor’s sole discretion.
  • Concept Submissions will be evaluated and scored based upon the following Phase 1 Criteria:
    • 2.1. clear identification of the importance of the social challenge and/or problem being addressed within one of the Core Focus Categories and the selected Core Focus Sub-Category;
    • 2.2. potential for Entrant’s innovation or product to solve the identified social challenge and/or problem and to have a significant impact and social benefit;
    • 2.3. How the Concept Submission utilizes key enabling technology, which may, but is not required to be Verizon technology, products, or services;
    • 2.4. analysis of the market size and impact, commercial feasibility, business model and economics of the innovation or product; and
    • 2.5. creativity and originality of the innovation or product.

    In the event of a tied score between the highest-scoring Concept Submissions, the Concept Submission with the higher score in the “potential for Entrant’s innovation or product to solve the identified social challenge and/or problem and to have a significant impact and social benefit;” criterion will be deemed the better Concept Submission. In the event that such tied Concept Submissions also have tied scores in the “potential for Entrant’s innovation or product to solve the identified social challenge and/or problem and to have a significant impact and social benefit;” criterion, the Concept Submission with the higher score in the “clear identification of the importance of the social challenge and/or problem being addressed within one of the Core Focus Categories and the selected Core Focus Sub-Category ” criterion will be deemed the better Concept Submission. In the event that such tied Concept Submissions have tied scores in both of the foregoing criteria, the Judges will break the tie, based on the “analysis of the market size and impact, commercial feasibility, business model and economics of the innovation or product” criterion”, at their sole discretion.

  • The Concept Submissions accepted by the Judges to advance to Phase 2 of the Contest will be notified by email no later than July 15, 2014 (such date subject to change, in Sponsor’s sole discretion, with reasonable notice of modified dates to be given on www.verizon.com/powerfulanswers/award/2014/rules. The relevant Entrants must respond to such email notification within seven (7) days or their Contest Submission may be excluded from winning a prize or proceeding to the next Phase in the Contest.
  • 2. Phase 2- Full Proposal Phase. During Phase 2 of the Contest, Entrant will be required to log into Contest Website and follow the instructions to complete and submit Entrant’s full proposal submission, which must be based on the Concept Submission (the “Proposal Submission”), by August 15, 2014 at 11:59pm Pacific Time.

  • 1. Proposal Submission: Each Entrant’s Proposal Submission must contain the following:
    • 1.1. additional detail on the Phase 1 Criteria, as specified by Sponsor on the Contest Website
    • 1.2. a marketing strategy and go-to-market implementation plan (i.e., marketing plan, market size, market segmentation, target market, and citations to valid research data to substantiate Entrant’s claims) to support the business model;
    • 1.3. an explanation of why customers will select Entrant’s innovation or product over competitive products/services already in the market and evidence of customer interest;
    • 1.4. a detailed business case, including revenue projections and anticipated expenses that will be incurred to develop Entrant’s innovation/product and fund commercialization of Entrant’s innovation or product for Entrant’s target market and for large-scale growth; and
    • 1.5. additional supporting materials, such as videos or other electronic presentations. Format shall be specified by Sponsor on the Contest Website prior to the beginning of Phase 2.
    Any Proposal Submission requiring a written description must comply with any stated word limits on the form provided on the Contest Website.
  • 1. Phase 2 Judging/Judging Criteria: After the close of Phase 2 Submissions, the Judges will evaluate and score each Proposal Submission based upon the following criteria (“Phase 2 Criteria”):
  • 1.1. the importance of the social challenge and/or problem being addressed within one of the Core Focus Categories and selected Core Focus Sub-Category
  • 1.2. potential for Entrant’s innovation or product to solve the identified social challenge and/or problem and to have a significant impact and social benefit;
  • 1.3. How the Concept Submission utilizes key enabling technology, which may, but is not required to be Verizon technology, products, services;
  • 1.4. The addressable market size and impact, commercial feasibility, business model and economics of the innovation or product;
  • 1.5. creativity and originality of the innovation or product.
  • 1.6. a marketing strategy and go-to-market implementation plan (i.e., marketing plan, market size, market segmentation, target market, and citations to valid research data to substantiate Entrant’s claims) to support the business model;
  • 1.7. an explanation of why customers will select Entrant’s innovation or product over competitive products/services already in the market and evidence of customer interest;
  • 1.8. a detailed business case, including revenue projections and anticipated expenses that will be incurred to develop Entrant’s innovation/product and fund commercialization of Entrant’s innovation or product for Entrant’s target market and for large-scale growth
  • 1.9. additional supporting materials, such as videos or other electronic presentations. Format shall be specified by Sponsor on the Contest Website prior to the beginning of Phase 2.
  • 1.10. Overall presentation of the Proposal Submission
  • In the event of a tied score between the highest-scoring Proposal Submissions, the Proposal Submission with the higher score in the “Creativity and originality of the innovation/product and likelihood of its potential to create a sustainable and significant global impact” criterion will be deemed the better Proposal Submission. In the event that such tied Proposal Submissions also have tied scores in the “Creativity and originality of the innovation/product and likelihood of its potential to create a sustainable and significant global impact” criterion, the Proposal Submission with the higher score in the “Clear articulation of a significant challenge in one of Core Focus Categories with a technically plausible solution utilizing one of more of Verizon Core Capabilities” criterion will be deemed the better Proposal Submission. In the event that such tied Proposal Submissions have tied scores in the “Creativity and originality of the innovation/product and likelihood of its potential to create a sustainable and significant global impact” and “Clear articulation of a significant challenge in one of Core Focus Categories with a technically plausible solution utilizing one of more of Verizon Core Capabilities” criteria, the Judges will break the tie, based on the Phase 2 Criteria, at their sole discretion. Notwithstanding anything to the contrary contained herein, Sponsor reserves the right, in its sole discretion, to have a different number of Proposal Submissions than the number explained in Section 5 (Phase 3 – Finalist Phase) below of these Official Rules in each Core Focus Category that Sponsor anticipates will be selected to participate in Phase 3 of the Contest.
  • 3. Phase 3- Finalist Phase. The top ten (10) Proposal Submissions in each of the Core Focus Categories (the “Contest Finalists”) will be selected by the Judges to advance to Phase 3 of the Contest. Contest Finalists will be notified on or about September 29, 2014. Contest Finalists will then be invited to present the Proposal Submission in an in-person presentation (“Final Proposal”) before a panel of judges (the “Finalist Judges”). The specific dates and locations of the Final Proposal will be determined by Sponsor in its sole discretion and will be posted on the Contest Website. Contest Finalists will be reimbursed for actual reasonable travel expenses incurred for travel to their designated final presentation location in connection with Phase 3 of the Contest. Reimbursement of up to $3,000 total in documented reasonable travel and lodging costs is available for each Contest Finalist team (up to two participants from each Contest Finalist team can request reimbursement and $3,000 is the combined total available for both participants). All expenses must be documented with original receipts.

  • 1. The Final Proposal must contain the following:
  • 1.1. the importance of the social challenge and/or problem being addressed within one of the Core Focus Categories and selected Core Focus Sub-Category
  • 1.2. potential for Entrant’s innovation or product to solve the identified social challenge and/or problem and to have a significant impact and social benefit;
  • 1.3. How the Concept Submission utilizes key enabling technology, which may, but is not required to be Verizon technology, products, services;
  • 1.4. The addressable market size and impact, commercial feasibility, business model and economics of the innovation or product;
  • 1.5. creativity and originality of the innovation or product.
  • 1.6. a marketing strategy and go-to-market implementation plan (i.e., marketing plan, market size, market segmentation, target market, and citations to valid research data to substantiate Entrant’s claims) to support the business model;
  • 1.7. an explanation of why customers will select Entrant’s innovation or product over competitive products/services already in the market and evidence of customer interest;
  • 1.8. a detailed business case, including revenue projections and anticipated expenses that will be incurred to develop Entrant’s innovation/product and fund commercialization of Entrant’s innovation or product for Entrant’s target market and for large-scale growth
  • 1.9. additional supporting materials, such as videos or other electronic presentations. Format shall be specified by Sponsor on the Contest Website prior to the beginning of Phase 3.
  • 1.10. Description of the structure of the Contest Finalist’s team (if applicable) with each key member’s core expertise and applicable experience.
  • 1.11. Provide a roadmap into the development of the solution, when and where it will be available, and any key milestones associated with the development and commercialization of the solution.
  • 1.12. Overall presentation of the Proposal Submission
  • Each Contest Finalist will be allotted a total of thirty (30) minutes, which includes the presentation of the Final Proposal and a question and answer period with the Finalist Judges. The Final Proposal shall be no longer than fifteen (15) minutes in length. If the Final Proposal is longer than the allotted fifteen (15) minutes in length, Sponsor, in its sole discretion, shall have the right to disqualify the Contest Finalist or consider only a fifteen (15) minute portion of the Final Proposal.
  • 2. Phase 3 Judging/Judging Criteria: The Contest Finalists for each Core Focus Category will be evaluated and scored according to the following criteria (“Phase 3 Criteria”), with equal weight being given to each criterion:
    • 2.1. The scope and importance of the social challenge and/or problem being addressed;
    • 2.2. Strength and resolve of the innovation/product to the social challenge and/or problem, including its use of technology for the solution;
    • 2.3. Commercial feasibility, market strategy and validation;
    • 2.4. Strength of business case and model;
    • 2.5. Quality of Individual/Team/Organization; and
    • 2.6. Qualitative Assessment/ Overall Presentation.
  • In the event of a tied score between the highest-scoring Contest Finalists, the Contest Finalist with the higher score in the “Strength and resolve of the innovation/product to the social challenge and/or problem, including its use of technology for the solution” criterion will be deemed the better Contest Finalist. In the event that such tied Contest Finalists also have tied scores in the “Strength and resolve of the innovation/product to the social challenge and/or problem, including its use of technology for the solution” criterion, the Contest Finalist with the higher score in the “The scope and importance of the social challenge and/or problem being addressed” criterion will be deemed the better Contest Finalist. In the event that such tied Contest Finalists have tied scores in the “Strength and resolve of the innovation/product to the social challenge and/or problem, including its use of technology for the solution” and “The scope and importance of the social challenge and/or problem being addressed” criteria, the Finalist Judges will break the tie, based items #4, #3, #6 and #5 above, in that order, at their sole discretion.
  • This contest is not subject to legal recourse. The decisions of the Judges and Finalist Judges will be final and binding in all matters relating to the Contest.
  • No Proposal Submissions (i.e., for Phase 1, Phase 2, and Phase 3) may contain:
    • 1.1. nudity, lewd, or vulgar behavior;
    • 1.2. material that, in any manner Sponsor determines in its sole discretion, violates or infringes another’s rights, including, but not limited to privacy, publicity , confidential information or intellectual property rights, including, but not limited to copyright, patent, trademark, trade secret infringement or other proprietary right of any party;
    • 1.3. any material that Entrant does not own and/or has not obtained all rights necessary to use, submit and participate in this Contest, subject to these Official Rules;
    • 1.4. material that is hateful, tortious, defamatory, slanderous or libelous, deemed inappropriate or obscene;
    • 1.5. material that promotes bigotry, racism, hatred, or harm against any group or individual or promotes discrimination based on race, sex, religion, nationality, disability, sexual orientation or age;
    • 1.6. material that is unlawful, in violation of, or contrary to the laws or regulations in the United States and/or any jurisdiction where the innovation or product is created or planned for distribution; or
    • 1.7. any material including malware, spyware, viruses, worms, malicious code and any and all other code, instructions or components that are deceptive, malicious, harmful or designed to interfere with, breach, harm or limit the functionality or security of any product, service, network, or other system or technology of Sponsor or any other party; or;
    • 1.8. material that disparages Sponsor or any other person or entity relating to the Contest, or any third party;
    • Furthermore, videos for Proposal Submissions must not depict anyone under the age of 18 years old (unless the pictured person is the entrant’s child or legal ward and the entrant has their permission and will, upon the request of Sponsor, provide verifiable evidence of all necessary permissions obtained). Videos must comply with any technical requirements set forth on the form provided on the Contest Website.
      • Failure of any Proposal Submission to comply with the above restrictions, as determined by Sponsor in its sole discretion, shall result in disqualification. Sponsor accepts no responsibility for a Proposal Submission if it is lost, delayed, damaged, defaced, or mislaid, for causes which are beyond his reasonable control. All Proposal Submissions will be deemed made by the Entrant at the time of entry. Once a Proposal Submission is submitted, Entrant may not make any alterations.

2. Prizes. The following prizes will be awarded in the form of electronic funds transfer (“EFT”) or a cheque (check) in United States currency: Total Approximate Retail Value (“ARV”) of Prize Awards: $6,000,000 (US Dollars).

In each Core Focus Category, three (3) winners will be awarded as follows:

One (1) First Prize Winner – $1,000,000 cash prize (conversion at the exchange rate applied by the Sponsor’s bank on the date of payment for winners with accounts in other currencies)

Two (2) Second Prize Winners- $250,000.00 cash prize each

For the purposes of these Official Rules, winner means any person or entity selected to receive a prize. Sponsor reserves the right to substitute prizes of comparable or greater value at its sole discretion. Prizes are non-transferable. No substitution or cash redemptions.

TAXES: AWARDS OF PRIZES TO POTENTIAL WINNERS ARE SUBJECT TO THE EXPRESS REQUIREMENT THAT THEY SUBMIT TO SPONSOR ALL DOCUMENTATION REQUESTED BY SPONSOR TO PERMIT IT COMPLY WITH ALL APPLICABLE FEDERAL, STATE, PROVINCIAL, LOCAL OR OTHER TAX REPORTING LAW OR REGULATIONS IN THE UNITED STATES AND IN THEIR RESPECTIVE JURISDICTION. ALL PRIZES WILL BE NET OF ANY TAXES SPONSOR IS REQUIRED BY LAW TO WITHOLD. TO THE EXTENT PERMITTED BY LAW, ALL TAXES IMPOSED ON PRIZES ARE THE SOLE RESPONSIBILITY OF THE WINNERS. In order to receive a prize, potential winners must submit tax documentation requested by Sponsor or otherwise required by applicable law, to Sponsor or a representative for Sponsor or the relevant tax authority, all as determined by applicable law. The potential winners are responsible for ensuring they comply with all applicable tax laws and regulations and filing requirements, and other requirements relating to the awarding and receipt of a prize or cash in a contest or promotion. If a potential winner fails to provide such documentation or comply with such laws, the prize may be forfeited and Sponsor may award the prize to the Entrant submitting the Contest Submission with the next highest score.

3. Notification of Winners. Winners will be notified by email or telephone on or about January 15, 2015 and will be required to sign and return, where legal, an Affidavit of Eligibility (or similar document) and/or Liability/Publicity Release within five (5) days of prize notification. Additionally, Winners may be required to obtain releases or appropriate licenses from any and all third parties appearing in, or in relation to third party content used in or in connection with, their respective Concept Submission, Proposal Submission, and/or Final Proposal (hereinafter referred to collectively as “Contest Submission”). If any winner cannot be contacted within five (5) calendar days of first notification attempt, if any prize or prize notification is returned as undeliverable, if any winner rejects his/her prize, or in the event of noncompliance with these Official Rules and requirements or any other law, rules or regulation of respective jurisdiction by the winner, such prize will be forfeited and may be awarded to the Contest Submission with the next highest score. Upon prize forfeiture, no compensation of any nature shall be given.

4. Intellectual Property Rights. As between Entrant and Sponsor, Entrant shall retain ownership in and to the Contest Submission, including all intellectual property rights related thereto. By entering this Contest, Entrant hereby grants Sponsor, its affiliates, subsidiaries, parents, and agents, an irrevocable, worldwide, sub-licensable, transferable, royalty-free, and non-exclusive license under Entrant’s Contest Submission and all intellectual property rights related thereto to use, copy, publish, modify, distribute, create derivative works of, execute, and publicly display entrant’s Contest Submission (including all ideas, expressions, and other materials) in whole or in part, without prior review, payment, compensation, or additional consent by Entrant, as part of the Contest, including but not limited to the administration of the Contest, for the evaluation of the Contest Submission, and in advertising and publicity related to the Contest. In granting this license, Entrant understands and agrees that Sponsor is under no obligation to exercise any of its rights, licenses and privileges herein granted. Entrants hereby agree to do such other things and execute such other documents as may be reasonably requested in order to allow the Sponsor to make such use of, and exercise such rights over, their Contest Submission.

By making a Contest Submission, Entrant acknowledges and agrees that Sponsor and its designees (i) are continually and independently of the Contest and Entrant’s Contest Submission working on creating, developing, improving upon and expanding Sponsor’s product and service offerings, including supporting technology, networks, software, and systems, and may already be developing or may develop in the future products, services, technology, networks, software, and systems that are similar or identical to the Contest Submission, and (ii) may receive Contest Submissions from other Entrants that may be similar or identical to the Contest Submission Entrants submit. By entering this Contest, Entrant hereby releases Sponsor for use of Entrant’s intellectual property rights related to the Contest Submission, and hereby agrees not to sue Sponsor, its employees, directors, affiliates, subsidiaries, parents, agents, successors and assigns for any actual or alleged infringement or misappropriation by any Sponsor product, service, technology, network, software, or system of Entrant’s intellectual property rights related to the Contest Submission. Furthermore, Entrant hereby waives any and all claims Entrant may have had, may currently have, and/or may have in the future related to Sponsor’s review, acceptance, and/or use of the Contest Submission, and agrees that Sponsor is under no obligation to review, use, or in any way process Entrant’s Contest Submission, regardless of the status indicated on the Contest Website.

If the Contest Submission or any part thereof is created in Australia, Entrant must:

a) provide to Sponsor on its own behalf if Entrant is an individual, and procure from each individual involved in, or who contributes to, the creation of the Contest Submission (whether an employee of Entrant or otherwise) (each an “Author”), and provide to Sponsor, a written irrevocable and unconditional consent as an author, to the fullest extent permitted by law (either present or future), to Sponsor and its licensees, contractors, assignees and successors, any licensees of one of those persons, and any other person authorized by any of them (each an “Authorized Person”) a license to:

(b) use, disclose, reproduce, copy, adapt, publish, perform, exhibit, communicate or transmit the Contest Submission or any adaptation of it (or any part the Contest Submission or of any such adaptation) anywhere in the world, in whatever form and in whatever circumstances Sponsor or its Authorized Persons thinks fit, including the making of any distortions, additions or alterations to the Contest Submission, or mutilating or destroying the Contest Submission, or any adaptation of any of them (or any part of the Contest Submission or of any such adaptation) as so used, disclosed, reproduced, copied, adapted, published, performed, exhibited, communicated or transmitted; and

(c) use, disclose, reproduce, copy, adapt, publish, perform, exhibit, communicate or transmit the Contest Submission or any adaptation of it (or any part of the Contest Submission or of any such adaptation) anywhere in the world without making any identification of the Author(s) as the author(s) in relation to any of them.

Entrant acknowledges and agrees that its Contest Submission will not be held as confidential information and to the extent that the Contest Submission contains Entrant’s confidential information, such information immediately becomes non-confidential upon Entrant’s submission of a Contest Submission. Entrant grants Sponsor the right to review Entrant’s Contest Submission and to have the Judges and Finalist Judges (as defined herein) review Entrant’s Contest Submission. Entrant also grants to Sponsor the right to post Entrant’s Contest Submission, including the short description of the submission, and any photo or video that entrant submits on the Contest Website and Entrant agrees that visitors to the Contest Website have the right to access the information in accordance with the Terms and Conditions of the Contest Website.

Entrant agrees that entering the Contest may impact Entrant’s legal rights, including, but not limited to, Entrant’s ability to obtain patent rights, copyright registration, trade secret protection, or other intellectual property or proprietary rights with respect to the information disclosed in the Contest Submission. Entrant must seek its own legal counsel prior to entering the Contest or submitting a Contest Submission, and agrees that Sponsor has not induced Entrant to enter the Contest, and is not responsible or liable to Entrant for any loss of right suffered by Entrant for having entered the Contest.

Entrant agrees that nothing in these Official Rules grants Entrant a right or license to use any name, trademarks or service marks owned by Sponsor or any of its affiliates, including “Verizon” and “Verizon Wireless.” Entrant grants to Sponsor the right to include Entrant’s company name (if Contest Submission is from a company) as an Entrant to the Contest Website and in materials related to Sponsor’s promotion of the Contest. Other than these uses, Entrant does not grant Sponsor any rights to Entrant’s trademarks.

Likewise, nothing in this Contest requires Entrant to negotiate or do business with Sponsor. Entrant is free to discuss entrant’s Contest Submission and the ideas or technologies it contains with other parties, and Entrant is free to contract with any third parties as long as Entrant has not yet signed an agreement with Sponsor regarding Entrant’s Contest Submission. For the purpose of clarity, Entrant acknowledges that the intent of the Contest is to encourage people to suggest their ideas and innovations to Sponsor. But participating in this Contest does not create an obligation to either Entrant’s part or Sponsor’s part to enter into any further business relationship or to sign any commercial agreement (other than the documents mentioned in Section 7)

5. Conditions. Sponsor shall not be liable or responsible in the event Contest Submissions are not used (whether in whole or in part) for any reason. Any and all federal, state, provincial and local taxes are the sole responsibility of the winners. Entrants acknowledge and agree that their participation in this Contest and Sponsor’s activities in and relating to this Contest are not and do not create any confidential, fiduciary, employment, agency or other special relationship between Entrant and Sponsor. For the avoidance of doubt, Entrants further affirmatively consent to Sponsor’s right, in its sole discretion, to use, without compensation, Entrants’ name, likeness, biography and other information about Entrants in connection with any use of the Contest Submission Entrants submit. Participation in Contest and acceptance of prize constitutes each Winner’s permission for Sponsor to use his/her name, address (city and state/province/territory), likeness, photograph, picture, portrait, voice, biographical information, Contest Submission and/or any statements made by each winner regarding the Contest or Sponsor for advertising and promotional purposes without notice or additional compensation, except where prohibited by law. By participating, Entrants and Winners agree unless prohibited by mandatory law to release, indemnify and hold harmless Sponsor, and its employees, officers and directors, from any and all liability, for loss, harm, damage, injury, cost or expense whatsoever including without limitation, property damage, personal injury and/or death which may occur in connection with, preparation for, travel to, or participation in Contest, or possession, acceptance and/or use or misuse of prize or participation in any Contest-related activity and for any claims based on publicity rights, defamation, invasion of privacy, copyright infringement, trademark infringement or any other intellectual property-related cause of action. To the extent that English law applies, nothing in these Official Rules in any way limits or excludes Sponsor’s liability for death or for personal injury caused by its negligence or for any other liability that cannot be limited or excluded as a matter of law. Entrants who do not comply with these Official Rules, or attempt to interfere with this Contest in any way may, in Sponsor’s sole discretion, be disqualified.

6. Additional Terms. By entering the Contest, Entrants fully and unconditionally agree to be bound by these rules and the decisions of the Judges and Finalist Judges, which will be final and binding in all matters relating to the Contest. Any attempted form of entry other than as set forth in Section 3 and Section 4 above is prohibited; no automatic, programmed, robotic or similar means of entry are permitted. To the fullest extent permitted by law, Sponsor, its affiliates, partners and promotion and advertising agencies are not responsible for any of the following, provided that it is beyond their reasonable control, namely technical, hardware, software, telephone or other communications malfunctions, typographical or other errors in printing, offering, or description of any prize or in any other materials produced in connection with the Contest, failures of any kind, lost or unavailable network connections, web site, Internet, or ISP availability, unauthorized human intervention, traffic congestion, incomplete or inaccurate capture of entry information (regardless of cause) or failed, incomplete, garbled, jumbled or delayed computer transmissions which may limit one’s ability to enter the Contest, including any injury or damage to participant’s or any other person’s computer relating to or resulting from participating in this Contest or downloading any materials in this Contest. If for any reason, including infection by computer virus, bugs, non-authorized human intervention, fraud or other causes beyond Sponsor’s control corrupt or affect the administration, security, fairness or proper conduct of the Contest, Sponsor reserves the right at its sole discretion to cancel, terminate, modify or suspend the Contest. In addition, if for any reason that is beyond Sponsor’s reasonable control, in it its sole discretion, Sponsor determines that the Contest should not or cannot run as planned, Sponsor may cancel, terminate, modify or suspend the Contest. If Sponsor decides to cancel, terminate, modify or suspend this Contest in accordance with these Official Rules, it will provide a notice of such cancellation, termination, modification or suspension powerfulanswersaward.com or www.verizon.com/powerfulanswers/award/2014/rules. Sponsor reserves the right, in its sole discretion, to disqualify any individual it finds to be tampering with the entry process or the operation of the Contest or web site. Sponsor may prohibit an Entrant from participating in the Contest or winning a prize if, in its sole discretion, it determines that said Entrant is attempting to undermine the legitimate operation of the Contest by cheating, hacking, deception, or other unfair playing practices (including the use of automated quick entry programs) or intending to annoy, abuse, threaten or harass any other entrants or Sponsor representatives. The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, Sponsor reserves the right to cancel, terminate or modify the Contest or any provision of these rules, or shall have the right to have that determination not affect the remainder of these Official Rules, which shall be construed in accordance with their terms as if they did not contain the invalid or illegal provision. All decisions of Sponsor related to the Contest are final and binding.

CAUTION: ANY ATTEMPT BY AN ENTRANT TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, THE SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.

7. No Obligation. Entrant acknowledges that multiple participants may submit Contest Submissions that contain concepts or technologies similar to your Contest Submission and that Sponsor, its respective parent companies, subsidiaries, affiliates, partners, representatives, agents, successors, assigns, employees, officers and directors may already be pursuing technologies that are related or similar to those that you disclose in your Contest Submission. Entrant acknowledges and agrees that Sponsor’s action with respect to another Contest Submission, even if similar to your Contest Submission, shall not create in Sponsor any liability to you or others. Further, Sponsor is not and shall not be restricted in any way from pursuing, developing, or commercializing, in any way that Sponsor sees fit, independent of you and at Sponsor’s sole discretion, any technology or innovation that is created independent of your Contest Submission. For the avoidance of doubt, entrant acknowledges that Sponsor is not obligated to take any action whatsoever with regard to your Contest Submission.

8. Warranties. By entering the Contest, each Entrant warrants and represents the following with respect to its participation in the Contest and any and all Contest Submissions: (a) Entrant is the sole and exclusive owner and rights holder of the Contest Submission; (b) Entrant has all rights, powers and authority to submit the Contest Submission, including the legal power and authority to bind Entrant to the terms and conditions of these Official Rules; (c) the Contest Submission is not subject to any claim of ownership by any current or former employer, any educational institution or any other third party (including, without limitation any group company or affiliated company); (d) the Contest Submission is Entrant’s own creation and is 100% original; (e) the Contest Submission does not infringe on any intellectual property, proprietary, moral, or other rights of any third parties; (f) any third parties appearing in the Contest Submission and Entrant’s participation have given Entrant appropriate consent to be used as permitted herein; (g) the Entrant has all appropriate rights, powers and authority to grant Sponsor all licenses to the Contest Submission, including any and all third party content or technology used to develop or contained in the Contest Submission; (h) the Contest Submission does not violate the rights of any third party or any local, state, provincial, national or foreign law, including any right of publicity, right of privacy or any other proprietary right; (i) the Contest Submission does not contain the confidential information of any third party, and to the extent they contain Entrant’s confidential information, immediately become non-confidential the moment Entrant submits the Contest Submission.

9. Use of Data/Governing Law. Sponsor will be collecting, maintaining and using personal data and/or information about Entrants online, in accordance with its privacy policy. By participating in the Contest, Entrants hereby agree to Sponsor’s collection and usage of their personal information and acknowledge that they have read and accepted Sponsor’s privacy policy. Please note that Entrant’s personal information may be transferred to, processed and/or stored outside the country from which it was collected, and, as such, may not be subject to the same requirements or restrictions relating to such personal information as may exist in the country in which it was collected. Contest shall be construed only according to U.S. law. Except as otherwise required by law, Sponsor and Entrants agree that the Federal Arbitration Act and the substantive laws of the state of New Jersey, without reference to its principles of conflicts of laws, will be applied to govern, construe and enforce all of the rights and duties of the parties arising from or relating in any way to the subject matter of the Contest. UNLESS ENTRANTS AND VERIZON AGREE OTHERWISE, ENTRANTS AND VERIZON CONSENT TO THE EXCLUSIVE PERSONAL JURISDICTION OF AND VENUE IN AN ARBITRATION OR SMALL CLAIMS COURT LOCATED IN THE STATE OF NEW JERSEY FOR ANY SUITS OR CAUSES OF ACTION CONNECTED IN ANY WAY, DIRECTLY OR INDIRECTLY, TO THE SUBJECT MATTER OF THIS AGREEMENT OR TO THE SERVICE. Except as otherwise required by law, including state laws relating to consumer transactions, any cause of action or claims Entrants may have with respect to the Contest must be commenced with one (1) year after the claim or cause of action arises or such claim or cause of action is barred. If for any reason a claim proceeds in court rather than through arbitration, Entrant and Sponsor agree that there will not be a jury trial. Entrant and Sponsor unconditionally waive any right to trial by jury in any action, proceeding or counterclaim arising out of or relating to this Contest in any way. In the event of such litigation, this paragraph may be filed to show a written consent to a trial by the court. Entrant hereby agrees that all such claims that cannot be resolved through mandatory arbitration shall be subject to the exclusive jurisdiction of the state and federal courts in the District of New Jersey, located in New Jersey (the “Court”). Entrant hereby submits to, and waives any challenge to, the jurisdiction or venue of the Court over any such disputes in connection with the Contest.
