This Verizon Business Mobile Internet Security Service Attachment (“VBMIS Service Attachment”) to the Agreement between Customer and Verizon Wireless sets forth the terms and conditions for Verizon Business Mobile Internet Security Service (“Service”) (described below) to be provided by Verizon Wireless to Customer hereunder. By using the Service, you agree to these terms and conditions.
Customer and Verizon Wireless agree that: (i) the terms and conditions of this VBMIS Service Attachment supplement the Agreement and except to the extent expressly provided otherwise in this VBMIS Service Attachment, all of the terms and definitions of the Agreement are applicable to Customer’s use of the Service, (ii) the Parties do not intend to modify the terms and conditions of the Agreement except as applicable to the Service hereunder, (iii) any capitalized but undefined terms used in this VBMIS Service Attachment shall have the meanings given such terms in the Agreement, and (iv) in the event of any inconsistent or contradictory terms between the Agreement and this VBMIS Service Attachment, the terms of this VBMIS Service Attachment shall control with respect to the Service.
1. SERVICE OVERVIEW. The Service is a mobile network-based, zero-touch service that provides customers with real-time anti-malware protection for web traffic to help protect their Eligible Devices from malicious activity when accessing the internet while on the Verizon Wireless network. The anti-malware protection includes, but is not limited to, anti-phishing, anti-ransomware, and anti-spyware.
2. FEES. Customer shall pay Verizon Wireless all applicable charges as set out in Exhibit A attached hereto.
3. ELIGIBILITY. The Service is available for eligible 4G and 5G devices with an eligible Verizon Wireless 4G LTE or 5G business mobile plan (“Eligible Devices”) that are operating on the Verizon Wireless network. The Service is not available when Eligible Devices (a) are roaming domestically or internationally on networks operated by third party carriers or (b) are connected via Wi-Fi (other than hotspot Wi-Fi enabled by an Eligible Device operating on the Verizon Wireless network). At this time, the Service is not compatible with lines using a static IP address. Processing an order for the Service will cause static IP to be removed from the line.
4. INTELLECTUAL PROPERTY, LICENSE GRANTS, AND USE.
4.1 Limited Rights to Access. Subject to the terms and conditions of this VBMIS Service Attachment and the Agreement, Verizon Wireless grants Customer a limited, personal, non-transferable, non-assignable, non-exclusive and limited right to access the Service for each Eligible Device covered by Customer’s purchase.
4.2 Non-Several Product. The Service is provided as a single product. Customer may not separate the Service’s component parts for use or for any other purpose.
4.3 Further Limitation. Customer may not rent or lease the Service or otherwise allow third parties to copy, access, or use the Service.
4.4 Protection of Intellectual Property. The Service is protected under national and international copyright, trademark, trade secret, and patent laws. All rights, title, and interest to the Service (including its underlying software) shall remain with Verizon Wireless and its supplier and/or licensor. The right to access the Service granted herein does not constitute a sale of the software, hardware, firmware or anything else that makes up the Service nor any portion or copy of it. A copy of the software associated with the Service may be provided to Customer only to allow Customer to exercise its rights under the right to access. To the extent applicable, the Service (including its underlying hardware and software) is being provided to Customer solely for Customer’s own internal use under a Major Account or Enterprise Account Agreement, or solely in connection with Customer’s use case of MBB Lines under a Wireless Connectivity Agreement or Wireless Enterprise Connectivity Agreement. The Service may not be used by, sub-licensed, re-sold, rented, or distributed to any other party. Customer may not assign its rights under the terms of this VBMIS Service Attachment without the prior written consent of Verizon Wireless.
Customer acknowledges that the source code of the underlying software of the Service, and the concepts and ideas incorporated by the Service, are valuable intellectual property of Verizon Wireless and its supplier and/or licensor. Customer agrees not to copy the any of the foregoing or any other portion of the Service, nor to distribute any such concepts or ideas to any third party, or to attempt (or permit others) to decipher, reverse translate, de-compile, disassemble or create derivative works based on the Service or any part thereof, or to develop methods to enable unauthorized parties to access the Service, or to develop any other product containing any of the concepts and ideas contained in the Service.
Trademarks may be used only to identify printed output produced by the Service. The provisions of this paragraph shall survive the termination of this VBMIS Service Attachment and Customer’s applicable agreement with Verizon Wireless.
5. INDEMNIFICATION. Customer agrees to indemnify, defend and hold harmless Verizon Wireless and its employees, officers, directors, agents, suppliers, vendors, parents and affiliates from and against any claims, causes of action, losses, liabilities, damages, penalties, fines, costs or expenses (including, without limitation, reasonable attorneys’ fees and allocable cost of in-house counsel) resulting from or arising out of or relating to (a) Customer’s unauthorized use of the Service, or (b) Customer’s non-compliance with laws.
6. LIMITED WARRANTY. EXCEPT TO THE EXTENT EXPLICITLY STATED OTHERWISE IN THIS VBMIS SERVICE ATTACHMENT, THE SERVICE IS PROVIDED “AS IS” AND VERIZON WIRELESS MAKES NO WARRANTIES OF ANY KIND WITH RESPECT TO USEFULNESS, FUNCTIONALITY, OPERABILITY, TIMELINESS AND NON-INFRINGEMENT. VERIZON WIRELESS HEREBY DISCLAIMS ANY AND ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION ANY WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.
7. LIMITATION OF LIABILITY. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VERIZON WIRELESS OR ITS SUPPLIER AND/OR LICENSOR BE LIABLE UNDER THESE TERMS AND CONDITIONS FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR ANY OTHER PECUNIARY LOSS ARISING OUT OF THE USE OF OR INABILITY TO USE THE SERVICE, EVEN IF THEY HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
