MCI To Acquire Digital Media Solutions, Interactive Content Factory From TWI

ASHBURN, Va. and LAS VEGAS, Nev., April 19, 2005- MCI, Inc. (NASDAQ: MCIP) and TWIs interactive division, a wholly-owned subsidiary of IMG Worldwide, Inc. today announced an agreement under which MCI will acquire the assets of ICF (Interactive Content Factory), software solutions specializing in IP-based media and entertainment services.
Simultaneously, MCI also announced the formation of its new Digital Media Technologies group, dedicated to developing and distributing end-to-end, digital media solutions for content creators, producers and distribution outlets for media, entertainment and gaming organizations.
By combining ICF's capabilities with MCI's portfolio of managed voice, data and IP-based solutions, MCI is providing value-added communication solutions that address the specific digital technology requirements for the broadcast, entertainment, news, gaming and sports industries.
For instance, MCI will develop a hosted version of ICF Media Platform which will digitally capture content, store and manage rich media and manage media distribution and syndication, including copyright and music rights management. MCI will also host software, editing tools and enable customers to access, rough edit and distribute digital content in final form from any web-enabled device. ICF Media Platform and ICF NetEdit will continue to be supported as a software product for local installations.

ICF is one of the world's first IP-based remote editing platforms targeted toward consolidating the work processes of media rich industries including broadcast, iTV, broadband, Web and mobile outlets, such as cell phones and media players. ICF Media Platform can support the smallest production company to the largest broadcast and film organizations, through content acquisition and workflow distribution automation that can all be accessed by a computer over a standard office network.
As part of the agreement, MCI, IMG and TWI have also formed a joint development fund to drive the advancement of digital content and distribution. The joint development board, comprised of representatives from all three companies, will evaluate collaborations and investment opportunities which may lead to digital media applications and software improvements.

MCI's newly-created Digital Media Technologies group supports the unique requirements of its media and entertainment customers. MCI Digital Media Technologies solutions provide customers with a fully managed IP-based digital media service platform, end-to-end infrastructure for digital media transport, management, and production workflow and an infrastructure that will serve as an IP-based connection for the various steps in digital content creation.
Building upon MCI's existing digital media portfolio of video-on-demand, streaming video and e-video capabilities, MCI Digital Media Technologies solutions will allow customers to replace the inefficiencies of traditional analog services with the high-speed delivery, resiliency and built in security of digital content distribution.
MCI Digital Media Technologies will offer a complete set of digital media services including:
- Workflow tools for content acquisition, management and manipulation;
- Secure storage of content and transmission and digital media files;
- Interoperability with a broad selection of production software for audio, video, graphics, and other rich media, allowing customers to use either hosted or local digital media software applications;
- Industry-certified Digital Rights Management (DRM) tools to ensure restricted access to content, with Read/Write/Change/Delete tiered permission levels;
- Secure distribution to facilitate delivery to various network providers, so they can deliver content to various media devices, including phones, set-top boxes (STB), PCs, Internet appliances, network gaming consoles, televisions, Personal Media Players (PMP), and online commerce sites;
- And uniform reporting across disparate distribution channels including copyright and music que sheet reporting.
