WorldCom, Inc. To Redeem All IDB WorldCom, Inc. Convertable Subordinated Notes On August 16, 1996

JACKSON, Miss. (July 15, 1996) --

WorldCom, Inc. (Nasdaq/NM:WCOM) today announced that it has
exercised its option to redeem on August 16, 1996, all of the
outstanding IDB WorldCom, Inc. Convertible Subordinated Notes due
2003 (the "Notes") (currently $195,315,000 principal
amount). Each holder of the Notes outstanding at the close of
business on the redemption date will receive an amount per share
equal to 103.5% of the principal amount plus accrued and unpaid
interest to August 16, 1996.

The current conversion price for the Notes is $19.034975 per
share, resulting in the receipt of 52 shares of WorldCom, Inc. common
stock per $1,000 principal amount of the Notes plus cash in lieu of a
fractional share. At the close of business on August 13, 1996, the
conversion rights will terminate. On conversion, no adjustment for
interest will be made, however, registered holders of the Notes on
the close of business August 1, 1996, will be entitled to receive the
last interest payment to be paid on August 15, 1996.

The conversion value is significantly higher than the redemption
price and therefore the Company expects that all holders of the Notes
will elect to convert their Notes to common stock prior to the
redemption.
